Genesis Pass — Membership Terms and Conditions

1 Contractual Relationship & Legal Entity

These Membership Terms and Conditions ("Terms") govern the purchase, holding, and utility of the SADEUS Genesis Pass ("Genesis Pass" or "Pass").

The Pass is issued and managed by SADEUS LTD, a private limited company incorporated in England and Wales under Company Registration Number 17435072, with its registered office located at 7 High Street, Kington, Herefordshire, United Kingdom, HR5 3AX ("Company", "we", "us", or "our").

By purchasing or holding a Genesis Pass, you ("Member", "User", or "you") expressly agree to be bound by these Terms, as well as our Privacy Policy and Website Terms and Conditions.

2 Nature of the Genesis Pass & Utility Benefits

The SADEUS Genesis Pass is a cryptographic digital utility token designed exclusively to serve as a digital access key and membership credential.

Scope of Membership Utility: Holding a valid Genesis Pass grants the User non-exclusive access to private digital services provided by SADEUS LTD, which may include:

• Access to restricted community communication channels (e.g., private Telegram/Discord groups).
• Priority access to technical updates, research, and corporate announcements regarding SADEUS LTD’s operational activities.
• Educational resources, digital content, and industry insights.
• Early notification or preferred access terms for future physical B2B product releases or ecosystem developments.

The Genesis Pass possesses no function outside the specific utility features explicitly defined by SADEUS LTD.

3 Strict Non-Investment & Non-Financial Disclaimer

PLEASE READ THIS SECTION CAREFULLY.

No Financial Instrument or Security

The Genesis Pass is sold solely as a digital utility membership credential. It does not constitute a security, share, stock, bond, debenture, unit in a collective investment scheme, or any form of financial instrument regulated under the UK Financial Services and Markets Act 2000 (FSMA) or by the Financial Conduct Authority (FCA).

No Corporate Equity or Ownership

Acquiring a Genesis Pass does not confer any ownership interest, shares, corporate equity, voting rights, or governance power in SADEUS LTD or its affiliated entities.

No Dividends, Yield, or Profit Sharing

The Pass does not entitle the holder to any revenue sharing, profit distributions, dividends, interest payments, or financial returns of any kind.

No Expectation of Capital Appreciation

The purchase price paid for the Genesis Pass is consideration solely for immediate membership access. SADEUS LTD makes no promises, representations, or guarantees regarding the future value, liquidity, tradeability, or secondary market price of the Pass.

4 Purchase, Payment, and Digital Delivery

Payment Processing

Payment for the Genesis Pass may be made via credit card, debit card, or other approved payment methods processed by licensed third-party payment gateways (including Stripe).

Instant Digital Delivery

Upon successful payment verification, the Genesis Pass or digital access credential will be generated and transferred to the digital wallet or account specified by the User.

Accuracy of Information

You are solely responsible for providing an accurate and compatible digital wallet address or account email. SADEUS LTD shall not be liable for losses arising from incorrectly provided wallet addresses.

5 Statutory Digital Content Waiver & No-Refund Policy

Immediate Performance

By completing the purchase of the Genesis Pass, you explicitly request and consent to the immediate provision of digital content and membership services.

Waiver of Cancellation Rights

Pursuant to the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you acknowledge that because digital access is rendered immediately upon token transfer, you forfeit your statutory 14-day right to cancel or request a refund.

Finality of Purchase

All purchases of the Genesis Pass are final, non-refundable, and non-exchangeable, except where required by applicable UK consumer law.

6 User Conduct & Revocation of Membership

SADEUS LTD reserves the right to terminate private community access or revoke membership utility associated with a Genesis Pass without refund if a Member:

• Engages in unlawful activity, harassment, hate speech, spamming, or fraudulent behavior within community channels.
• Violates intellectual property rights owned by SADEUS LTD.
• Attempts to exploit, reverse-engineer, or compromise the digital access systems of SADEUS LTD.

7 Intellectual Property Rights

All trademarks, logos, branding assets, software code, graphic designs, and digital content associated with SADEUS LTD and the Genesis Pass remain the exclusive intellectual property of SADEUS LTD. Holding a Genesis Pass grants you a limited, personal, non-transferable license to view and access community content solely for your personal use.

8 Limitation of Liability & Technical Risks

Blockchain & Technology Risks

You acknowledge the inherent technical risks associated with blockchain networks, smart contracts, digital wallets, and cryptographic keys (including vulnerability to network congestion, software bugs, or third-party hacks).

As-Is Provision

Membership access is provided on an "as-is" and "as-available" basis. SADEUS LTD does not guarantee uninterrupted or error-free access to third-party communication platforms (e.g., Telegram).

Liability Cap

To the maximum extent permitted by applicable law in England and Wales, SADEUS LTD’s total aggregate liability for any claims arising from or related to the Genesis Pass shall not exceed the original purchase price paid by the User for the Pass.

9 Governing Law and Jurisdiction

These Terms, their subject matter, and their formation are governed by and construed in accordance with the laws of England and Wales. Any dispute or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
