1 General Provisions and Corporate Information

1.1. Company Details: These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and SADEUS LTD ("Company", "we", "us", or "our"), a company legally incorporated under the laws of England and Wales under Company Registration Number 17435072.

1.2. Acceptance of Terms: By purchasing the Genesis Pass, accessing our communication channels, engaging with our Personal Managers, or utilizing any services provided by SADEUS LTD, you unconditionally agree to be bound by these Terms, our Privacy Policy, and our Refund Policy. If you do not agree to these Terms, you must not proceed with the purchase or access our services.

2 Nature of Services and Non-Financial Status

2.1. Non-Financial Institution Status: SADEUS LTD is a commercial operating entity and is NOT a financial institution, credit institution, bank, payment institution, broker-dealer, asset manager, investment advisor, or money services business (MSB). The Company is not regulated or supervised by the UK Financial Conduct Authority (FCA) or any equivalent financial regulator.

2.2. No Custody of Client Funds: SADEUS LTD does NOT accept, hold, custody, manage, store, or manage deposits, fiat currencies, or digital assets (cryptocurrencies) on behalf of users. Payments processed by SADEUS LTD are direct commercial sales of access rights and digital products.

2.3. Utility Genesis Pass (Not an Investment):

• The Genesis Pass (and any associated tier access including Tier 1, Tier 2, Tier 3, or customized tiers) is strictly a utility digital membership product.
• The Genesis Pass confers access to private Telegram channels, closed community groups, educational materials, and direct communication with assigned Personal Managers.

The Genesis Pass does not represent or grant:

• Equity, shares, dividend rights, or governance ownership in SADEUS LTD;
• Any security, debenture, stock, or financial derivative;
• Any entitlement to passive income, profit distribution, yield, or guaranteed financial return.

2.4. Voluntary Purchase: The purchase of a Genesis Pass is undertaken entirely at the User's sole, independent, and unprompted discretion. SADEUS LTD and its representatives do not force, solicit, coerce, or compel any user to make a purchase.

2.5. No Investment or Financial Advice: No information, analytical content, community discussions, or interactions with Personal Managers provided by SADEUS LTD shall be construed as financial, investment, legal, or tax advice.

3 Service Delivery via Telegram and Personal Managers

3.1. No Website Account System: SADEUS LTD does not maintain open public user registration accounts on its website. All service delivery, tier management, community interaction, and onboarding are conducted through private Telegram channels and direct interactions with designated Personal Managers.

3.2. Onboarding and Tier Access:

• Access to Tier 1, Tier 2, or Tier 3 services is granted sequentially upon purchase validation and completion of identity verification procedures where required.
• Higher service tiers (Tier 2 and Tier 3) require direct coordination with an assigned Personal Manager and compliance with internal Know Your Customer (KYC) / Anti-Money Laundering (AML) standards.
• SADEUS LTD reserves the right to decline onboarding or revoke access to any tier if a user fails compliance screening or breaches these Terms.

3.3. Security of Access Links: All invite links, private access credentials, and communications issued by SADEUS LTD are strictly personal, confidential, and non-transferable. Users are solely responsible for maintaining the security of their personal Telegram accounts.

4 Geographic Scope, EU/EEA Reverse Solicitation, and Sanctions

4.1. Worldwide Availability: SADEUS LTD provides its utility services on a global basis to eligible individual and corporate clients worldwide, subject to compliance with international sanctions and local laws.

4.2. Non-Targeting of EU/EEA Residents (Reverse Solicitation):

• SADEUS LTD does not actively market, promote, solicit, advertise, or target its products or services to residents or legal entities within the European Union (EU) or the European Economic Area (EEA).
• Access, inquiry, registration, or purchase initiated by EU/EEA residents is performed exclusively on their own sole, unprompted, and unsolicited initiative (Reverse Solicitation).
• SADEUS LTD does not systematically reject EU/EEA residents, provided they independently initiate contact, successfully pass compliance onboarding, and confirm that their participation complies with their local legislation.

4.3. Restricted Jurisdictions & Sanctions Compliance: Services are strictly unavailable to any individual, legal entity, or territory subject to comprehensive international sanctions or designated on official restricted lists, including:

• The UK Sanctions List (HM Treasury / OFSI);
• The EU Consolidated Financial Sanctions Lists;
• The US OFAC Specially Designated Nationals (SDN) List;
• High-risk jurisdictions designated by the Financial Action Task Force (FATF).

SADEUS LTD reserves the absolute right to refuse or immediately terminate access for any user linked to a Restricted Jurisdiction.

5 Third-Party Platform Dependency (Telegram Disclaimer)

5.1. Platform Operations: You acknowledge that service delivery depends on Telegram, a third-party messaging infrastructure not controlled or operated by SADEUS LTD.

5.2. Limitation of Liability for Third-Party Outages: SADEUS LTD shall not be held liable for service disruptions, message failures, account suspensions, or technical outages resulting from actions, updates, or policies enforced by Telegram.

6 Payments, Fees, and Refunds

6.1. Commercial Payments: Purchases are processed via authorized payment service providers or acquiring banks. By submitting payment details, you authorize SADEUS LTD to charge the designated amount for the selected pass tier.

6.2. Refund Policy: Due to the immediate delivery of digital utility access and private channel credentials upon purchase, all sales are final and non-refundable, except as expressly provided in our separate Refund Policy or required by applicable consumer law.

7 Intellectual Property

7.1. All trademarks, branding, content, proprietary materials, and digital assets associated with SADEUS LTD and the Genesis Pass remain the exclusive property of SADEUS LTD.

7.2. Users are granted a revocable, non-transferable, personal license to access private channels. Unauthorized distribution, copying, or leaking of restricted channel content is strictly prohibited and subject to immediate ban without refund.

8 Disclaimers and Limitation of Liability

8.1. "As-Is" Service: All services, information, and community access are provided on an "as-is" and "as-available" basis without warranties of any kind.

8.2. Cap on Liability: To the maximum extent permitted by the laws of England and Wales, SADEUS LTD, its directors, employees, and agents shall not be liable for any indirect, incidental, consequential, or punitive damages. The Company’s maximum aggregate liability shall not exceed the amount paid by the User for the Genesis Pass in the preceding twelve (12) months.

9 Governing Law and Jurisdiction

9.1. Governing Law: This Agreement, its interpretation, and any non-contractual obligations arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales.

9.2. Jurisdiction: The courts of England and Wales shall have exclusive jurisdiction to resolve any dispute, claim, or controversy arising under or in connection with these Terms.
